Terms of Service
Effective [effective date].
JointDraft is operated by [Company legal name] (“we”) at jointdraft.com. These terms are the agreement between you and us. See also our Privacy Policy. The lists in these terms are examples, not exhaustive.
1. Accepting these terms
By creating an account or using JointDraft, you agree to these terms. If you don’t agree, don’t use it.
2. Your account
You must be at least 16, and not barred from using the service by sanctions or other laws that apply to you. You must comply with all export control and sanctions laws that apply to your use of JointDraft and your content. You’re responsible for keeping your sign-in details secure and for everything that happens under your account, including but not limited to what the people you invite to your projects and any AI agent you connect do there.
3. Acceptable use
Don’t misuse JointDraft. For example, don’t use it to:
- break the law, or upload material you have no right to share;
- harass people, or send spam;
- upload malware, or try to get into accounts, projects or systems that aren’t yours;
- reverse engineer the service, except where the law allows it;
- overload, probe or get around the service’s limits, or resell it without our written permission.
4. Your content
You own what you put into JointDraft. You give us permission to store, copy, process and show it only as needed to run the service for you and the people you share it with. You’re responsible for your content, for keeping your own copies of it, and for whom you share it with: people you share with can copy it and pass it on.
We may, but don’t have to, monitor, review, remove or disable any content or account, including but not limited to where we suspect abuse, a breach of these terms or a breach of the law.
If you send us feedback or ideas, you give us a perpetual, worldwide, royalty-free, irrevocable licence to use them for any purpose, without any obligation to you.
Reporting copyright infringement
If you believe content on JointDraft infringes your copyright, email hello@jointdraft.com with: your name and contact details; the work you say is infringed; where the content is on JointDraft; a statement that you believe in good faith the use isn’t authorised by the owner, its agent or the law; a statement that your notice is accurate and that you are the owner or may act for them; and your signature (a typed name is enough). We may remove or disable the content, and we may close the accounts of people who infringe repeatedly.
5. Plans and payment
Paid plans are billed in advance through Stripe and renew until you cancel. Payments are non-refundable, except where the law requires otherwise. Plans have limits, such as storage and collaborators. We may change prices, plans and limits at any time.
6. Third-party services and links
JointDraft works with services run by others, such as Stripe for payments and any AI agent you connect, and may link to other sites. Their own terms apply to them, and we aren’t responsible for them.
7. Termination
We may suspend or close any account, or change or stop the service or any feature of it, at any time and at our discretion. You can delete your account under Settings → Account.
8. Disclaimers
JointDraft is provided “as is” and “as available”, without warranties of any kind. To the extent the law allows, we disclaim all implied warranties. An AI agent you connect is not ours, and we aren’t responsible for what it writes. Don’t rely on JointDraft for deadlines or submissions, including but not limited to compiling, saving or sharing work in time; keep your own copies and allow time for problems. Features labelled beta, preview or experimental are provided as is and may change or be removed at any time.
No system is fully secure. You’re responsible for deciding what to upload and share, for keeping your own work confidential, and for following any embargo, anonymity or confidentiality rules of venues, employers or funders. Don’t upload anything you can’t accept being disclosed.
9. Limitation of liability
To the extent the law allows, we aren’t liable for indirect or consequential losses (such as lost data, missed deadlines or lost profits), and our total liability to you for all claims is limited to the greater of what you paid us in the 12 months before the claim and 100 US dollars. We aren’t liable for delays or failures caused by events outside our reasonable control, including but not limited to outages of the services we rely on. To the extent the law allows, we aren’t liable for any unauthorised access to, or disclosure, loss, alteration or early release of, your content, including but not limited to unpublished papers, reviews and comments, whatever the cause, including but not limited to people you share with, share links, connected agents, third-party services, attacks or breaches, bugs, or our own mistakes. To the extent the law allows, any claim relating to JointDraft must be brought within one year after it arose. Nothing in these terms limits liability that the law doesn’t allow us to limit.
10. Indemnity
You agree to cover our losses and costs, including reasonable legal fees, from claims by others that arise from your content or your breach of these terms.
11. Changes to these terms
We may change these terms at any time. Changes take effect when posted here. If you keep using JointDraft after that, you accept the new terms.
12. Governing law and disputes
These terms are governed by the law of [Province], Canada, and its courts decide any dispute. To the extent the law allows, claims may be brought only individually, not as a plaintiff or class member in any class, collective or representative action.
13. General
These terms and our Privacy Policy are the whole agreement between you and us about JointDraft. If part of them can’t be enforced, the rest still applies. If we don’t enforce a right, we haven’t given it up. You may not transfer your rights under these terms; we may transfer ours, for example if the business is sold. Clauses that by their nature should last beyond the end of your account, including but not limited to those on content, feedback, disclaimers, limitation of liability, indemnity and disputes, survive it.
